Terms of Service

1. Agreement

These Terms of Service ("Terms") form the agreement between Migo Studio (Emily Camilo) and you, the client ("Client"), when you subscribe to or use Migo Studio's services. By subscribing, you confirm that you have read, understood, and agreed to these Terms.
 

If you are entering into this agreement on behalf of a business, you confirm that you have the authority to do so.

2. Our Services

Migo Studio provides subscription-based graphic design and marketing services on a flat monthly fee basis. The specific deliverables, turnaround times, and inclusions depend on the subscription plan you select.
 

Core — $1,750 NZD per month One active request at a time. Design work only. 2–3 business day turnaround. Deliverables include social graphics, flyers, email headers, simple ads, and brand collateral.
 

Pro — $2,975 NZD per month Two active requests at a time. Design and marketing work including strategy, copy direction, and campaign planning. 48-hour average turnaround. Includes everything in Core plus campaign assets, social media strategy, email marketing, basic website page design, presentations, and brand guidelines. Includes a quarterly 60-minute strategy session.
 

All prices are in New Zealand dollars (NZD) and are exclusive of GST where applicable.
 

What is included

All plans include:

  • Unlimited design and/or marketing requests (queued; active requests limited by plan)

  • Unlimited revisions until you are satisfied with the final result

  • A dedicated Slack channel for communication

  • A Trello board for managing your request queue

  • The ability to pause or cancel your subscription at any time

  • A discovery call before sign-up

  • A 30-minute onboarding call in your first week

  • A 15-minute monthly check-in call

  • An annual relationship review at your 12-month milestone


What is not included

The following are outside the scope of all Migo Studio base plans unless explicitly agreed in writing or purchased as an optional add-on:

  • Video production or motion graphics

  • Photography or photo shoots

  • 3D modelling or rendering

  • Copywriting as a primary standalone service

  • Complex print production management or print buying

  • Paid advertising management — available as an optional add-on (see Optional Add-ons below)

  • Development or coding of websites or applications

  • Rush requests outside of our standard turnaround times, unless agreed


If you are unsure whether a specific request falls within scope, please ask before submitting it. We will always tell you honestly.
 

Optional add-ons

The following services are available as optional add-ons to any base plan subscription, billed monthly in addition to your plan fee. Add-ons are agreed in writing and may be added or removed with 14 days' notice, except where specific notice periods apply below.
 

Website Management — $575 NZD/month Ongoing management and updates to your existing website. Scope to be agreed in writing at the time of engagement.

Social Media Management — $425 NZD/month Management of your social media presence across agreed platforms. Scope — including number of platforms, posting frequency, and whether copywriting is included — to be agreed in writing at the time of engagement.

Digital Advertising Management — from $750 NZD/month Management of paid digital advertising campaigns across agreed platforms (e.g. Meta, Google Ads). Pricing varies by platform and campaign complexity and will be confirmed in writing before commencement. This add-on is subject to the specific terms in the Digital Advertising Management section below.

 

3. Requests, Revisions, & Turnaround Times
 

How requests work

Requests are submitted via your Trello or Asana board. You may add as many requests to your backlog as you like. We work through active requests in the order agreed, limited by your plan.

A "request" is a single, clearly defined piece of work. Complex projects (such as a full brand identity) will be broken into individual requests or milestones and delivered progressively.
 

You are responsible for providing clear, complete briefs. If we require additional information before we can begin a request, we will ask in Slack. Time spent waiting for information from you does not count toward our turnaround commitment.
 

Revisions

We offer unlimited revisions on all work. We ask that you consolidate your feedback into a single round of notes where possible, as this results in faster and cleaner outcomes for you.

A revision is a change to work already delivered based on your feedback. Significant changes to the original brief — such as a complete change of direction or concept — may be treated as a new request at our discretion. We will always communicate this before proceeding.
 

Turnaround times

Core plan: Most requests are delivered within 2–3 business days.
Pro plan: Most requests are delivered within 48 business hours.
 

Turnaround times are measured from when we begin working on a request (i.e. when it moves to "In Progress"), not from when it is submitted to the backlog. Turnaround times may be longer for complex, multi-part projects.
 

Business days and hours are Monday to Friday, 8am–5pm New Zealand time, excluding New Zealand public holidays.

4. Communication

All day-to-day project communication takes place via Slack. We respond to Slack messages within a few hours during business hours. Strategy calls are scheduled in advance via a booking link.
 

We do not accept requests via email, phone, or social media. All requests must be submitted via your Trello board.

5. Digital Advertising Management

This section applies where you have engaged Migo Studio's Digital Advertising Management add-on service.
 

Ad spend is your responsibility. All advertising spend — including Meta (Facebook/Instagram) ad spend and Google Ads spend — is paid directly by you to the relevant platform. Migo Studio does not purchase, advance, or take responsibility for ad spend under any circumstances. You are responsible for maintaining valid payment methods with each advertising platform.
 

Platform access. You grant Migo Studio access to your advertising accounts solely for the purpose of managing your campaigns. You retain ownership of all ad accounts, pixels, audiences, and data at all times. On termination of this add-on, Migo Studio will relinquish access within five business days.
 

Performance. Migo Studio will manage your campaigns with reasonable skill and care, but makes no guarantees regarding advertising performance, return on ad spend, click-through rates, conversions, or any other performance metrics. Digital advertising results are subject to platform algorithms, market conditions, and factors outside our control.
 

Reporting. We will provide a monthly summary of campaign performance covering key metrics agreed at the time of engagement.
 

Cancellation of add-on. You may cancel the Digital Advertising Management add-on with 14 days' written notice via Slack or email. Active campaigns will not be abandoned mid-flight without prior agreement on how they will be concluded. Your base plan subscription continues unaffected by cancellation of this add-on.
 

Liability. Migo Studio is not liable for any loss, damage, or cost arising from ad account suspension, platform policy changes, ad spend overruns, or poor campaign performance. You are responsible for ensuring your advertising content complies with the policies of each platform and with applicable New Zealand law, including the Fair Trading Act 1986.

6. Billing & Payment

Subscriptions are billed monthly in advance. Your first payment is due when you subscribe. Subsequent payments are due on the same date each month.
 

Payment is processed via our nominated payment platform (currently Stripe or direct bank transfer). You are responsible for ensuring your payment details are kept up to date. If a payment fails, we will notify you and pause work until payment is received.
 

We reserve the right to adjust our pricing with 30 days' written notice. Price increases will not affect your current billing cycle.

7. Pausing, cancellations, & refunds
 

Pausing your subscription

You may pause your subscription at any time by notifying us via Slack before your next billing date. Pausing freezes your billing and your remaining days in the billing cycle carry forward. You may pause for a minimum of one billing cycle and a maximum of three consecutive billing cycles.
 

Work in progress at the time of pausing will be completed before the pause takes effect, where reasonable.
 

Cancellation

You may cancel your subscription at any time by notifying us via Slack or email before your next billing date. Cancellation takes effect at the end of your current billing cycle — you will retain full access to our services until that date.
 

We do not offer refunds for the current billing cycle upon cancellation, except where required by the Consumer Guarantees Act 1993.
 

We reserve the right to cancel your subscription at any time if you breach these Terms, with written notice.
 

Refunds

We are committed to delivering high-quality work and will always work to resolve any concerns. If you are genuinely dissatisfied with our services, please contact us at hello@migostudio.co.nz and we will work with you to find a resolution.
 

Refunds are not provided for:

  • Cancellations mid-cycle (you retain access until the end of the billing period)

  • Work delivered in good faith and in line with your brief

  • Change of mind after work has commenced

  • Delays caused by late or incomplete briefs from your side
     

Refunds may be considered for:

  • Technical errors that resulted in incorrect billing

  • Situations where we were unable to deliver any work in a billing period due to circumstances on our side

  • Any situation where New Zealand consumer law requires us to provide a remedy

8. Intellectual property

Ownership of completed work. Once full payment has been received for a billing period, you own the final, approved deliverables produced during that period. You may use, modify, reproduce, publish, and distribute those deliverables for any lawful commercial purpose without restriction or ongoing fees.
 

Work in progress. Work that has been started but not yet delivered, or delivered but not yet paid for, remains the intellectual property of Migo Studio until full payment is received.
 

Source files. Unless specifically agreed in writing, we deliver final files in standard formats (e.g. PNG, PDF, JPG). Editable source files (e.g. Adobe Illustrator, Photoshop, or InDesign files) may be provided on request. We reserve the right to charge an additional fee for source file delivery.
 

Our tools and templates. Migo Studio may use proprietary templates, systems, and design frameworks as starting points for client work. While you own the final output, the underlying tools and templates remain our property.
 

Client-supplied materials. You retain ownership of all materials you supply to us. By supplying these materials, you grant Migo Studio a non-exclusive licence to use them solely for the purpose of producing your requested work. You are responsible for ensuring that any materials you supply are owned by you or properly licensed. Migo Studio will not be liable for any claims arising from the use of client-supplied materials that infringe third-party rights.
 

Third-party assets. If we incorporate third-party assets — such as stock photography, licensed fonts, or purchased icons — into your work, you are responsible for acquiring and maintaining the appropriate licences. We will advise you of any assets used and the licences required.
 

Portfolio and promotion. We may display completed work in our portfolio, website, case studies, and social media after it has been made public by you. If you would prefer we do not display your work publicly, please let us know in writing and we will respect that request. We will never share your confidential business information, unreleased products, or internal materials without your explicit consent.

9. Acceptable Use

Migo Studio will not create work that:

  • Is knowingly false, misleading, or deceptive in a way that would breach the Fair Trading Act 1986 or any other applicable law

  • Infringes the intellectual property rights of any third party, including trademarks, copyright, or design rights

  • Constitutes defamation, harassment, or discrimination against any individual or group

  • Promotes illegal activity of any kind

  • Contains adult, explicit, or sexually suggestive content

  • Promotes hate speech, violence, or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or any other protected characteristic

  • Is intended to mislead consumers about the nature, quality, or origin of a product or service
     

By submitting requests, you confirm that any assets or materials you provide are owned by you or properly licensed, and that the work will be used for lawful purposes only.
 

We reserve the right to decline any request that falls outside these guidelines or that we consider contrary to our values, without being required to give a detailed explanation. Where a request is declined on these grounds, no refund will be due for work not yet commenced.

10. Confidentiality

We treat all information you share with us — including business plans, strategies, financial information, and unreleased products — as confidential. We will not disclose your confidential information to any third party without your consent, except as required by law.

11. Limitation of liability

To the fullest extent permitted by New Zealand law, Migo Studio's total liability to you for any claims arising from these Terms or our services is limited to the total amount paid by you in the three months preceding the claim.
 

We are not liable for any indirect, consequential, or special loss, including lost profits or business interruption, even if we have been advised of the possibility of such loss.
 

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

12. Consumer rights & governing law
 

Consumer rights

Nothing in these Terms is intended to limit or exclude your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where those rights cannot lawfully be excluded.
 

Governing law

These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.

13. Changes to these terms

We may update these Terms from time to time. We will notify active clients of material changes with at least 14 days' notice via email or Slack. Your continued use of our services after that date constitutes acceptance of the updated Terms.
